General Infocomm Pte. Ltd., a company incorporated in Singapore with registration number 201204119C (“General Infocomm”), provides the Joilio Services (as defined below) at or through the Joilio Portal (as defined below) subject to and on the following terms as well as the Joilio Privacy Statement, and such other policies, practices and terms as incorporated by reference or otherwise posted, published or referred to at the Joilio Portal (collectively “Joilio Terms”).

 

By accessing or using any part of the Joilio Services or Joilio Portal, you are deemed to have understood, accepted and agreed to be bound by the Joilio Terms. If you do not agree with any of the Joilio Terms, you must immediately cease to use the Joilio Portal and the Joilio Services.

 

1.         Terms and Expressions

 

1.1       In these Joilio Terms, the following terms and expressions shall have the meanings given to them respectively as follows:

 

“Advertiser”                                   means a person who posts, or wishes to post, any Banner at the Joilio Portal;

 

“Banner”                                        means any banner or other advertisement at the Joilio Portal for Advertiser to generally promote goods and/or services or which otherwise contains any promotional message by Advertiser;

 

“person”                                         means any natural person or legal entity;

 

“Joilio Portal”                                means the website or websites at or through which Joilio Services are made available as may from time to time be determined by General Infocomm as provided in paragraph 6.4.4;

 

“Joilio Services”                           means the services made available by General Infocomm as described and within the scope stated in paragraph 2 below;

 

“Joilio Terms”                                shall have the meaning given to it in the opening paragraph above;

 

“Joilio User”                                  means any Advertiser or other person who accesses or uses this Joilio Portal and/or Joilio Services;

 

“Joilio User Account”                    means the account established by Joilio User with General Infocomm for the use of Joilio Services;

 

“Joilio User Content”                     means any and all information, images and/or other materials which Joilio User may be required or permitted to provide, post or publish in connection with its use of the Joilio Portal and/or the Joilio Services, or which General Infocomm may otherwise collect arising from such use, whether or not with Joilio User’s knowledge.

 

1.2       References in the Joilio Terms to any word:

 

1.2.1    importing a gender shall be construed in any other gender as the context requires; or

 

1.2.2    denoting the plural shall be construed accordingly based on the definition herein of such word in the singular; or

 

1.2.3    denoting the singular shall be construed as denoting the plural or vice versa as the context requires.

 

1.3       Title headings in and the arrangement and division of provisions into numbered paragraphs in the Joilio Terms shall have no significance in the interpretation of the substantive terms thereof.

 

2.         Joilio Services

 

2.1       Purpose

 

            The Joilio Portal is designed as a website portal to provide news and information, and to facilitate the exchange of information and discussion.

 

2.2       Joilio User Account

 

            To use certain Joilio Services, Joilio User is required to register as a member and establish a Joilio User Account, in connection with which Joilio User represents, warrants and undertakes to General Infocomm that:

 

2.2.1    all registration information submitted by Joilio User shall be truthful and accurate;

 

2.2.2    Joilio User shall have full legal capacity and authority to enter into and perform the Joilio Terms at all material times; and

 

2.2.3    Joilio User shall be responsible for ensuring the confidentiality and security of its user name and password in connection with and for all activities under its Joilio User Account, and General Infocomm will not be held accountable or liable for any loss or damage arising from Joilio User’s failure to comply with this obligation.

 

2.3       Permitted Use

 

            The use of Joilio Services shall be:

 

2.3.1    subject to the Joilio Terms and Joilio User undertakes to comply with and abide by all Joilio Terms; and

 

2.3.2    authorised only for the purposes and in the manner as they are intended, being lawful and legitimate purposes, and Joilio User shall ensure that its use of Joilio Services shall not violate any applicable law or regulations nor its legal obligations to any other parties. 

 

2.4       Prohibited Conduct

 

            Without prejudice to nor limiting the generality of any other provisions of the Joilio Terms, Joilio User shall NOT:

 

2.4.1    use the Joilio User Account, Joilio Portal or any of the Joilio Services -

 

(i)         for any purpose other than that for which they are intended, such as to contact other Joilio Users in order to harass or solicit business from them; or

 

(ii)        for any illegal or unauthorized purpose; or

 

(iii)       in any manner which is a violation of any laws;

 

(iv)       harvest, collect or solicit personal information or passwords, email addresses or other information of other Joilio Users or third parties by electronic or other means whether for the purposes of sending unsolicited emails or other unsolicited communications or otherwise;

 

(v)        in any other manner that could damage, disable, overburden or impair the Joilio Portal or the Joilio Services;

 

2.4.2    use any automated software (such as harvesting bots, scripts, robots, spiders, scrapers or any other unauthorised third party software designed to access, crawl or collect data) to collect information from or otherwise interact with the Joilio Portal or the Joilio Services;

 

2.4.3    register more than one Joilio User Account or register any Joilio User Account on behalf of any other person or entity other than as the authorized personnel on behalf of the Joilio User entity represented;

 

2.4.4    use or attempt to use any other party's Joilio User Account without proper authorization;

 

2.4.5    create a false identity or impersonate any person or entity, or falsely state or otherwise misrepresent to General Infocomm or any other Joilio User, any matter or information about itself provided to or based on information obtained from the Joilio Portal or through use of the Joilio Services;

 

2.4.6    upload, post, transmit, share or otherwise make available at or through the Joilio Portal or the Joilio Services, any -

 

(i)         unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

 

(ii)        private information of any Joilio User or third party, including its address, phone number or email address;

 

(iii)       material that contains software viruses, worms or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of the Joilio Portal, any computer software, hardware or telecommunications equipment;

 

(iv)       content that would constitute, encourage or provide instructions for a criminal offence, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law or which may intimidate or harass another;

 

(v)        content that, in the sole judgment of General Infocomm, is objectionable or otherwise restricts or inhibits any other person from using or enjoying the Joilio Portal or the Joilio Services, or which may expose General Infocomm or any other Joilio Users to any harm or liability of any type; or

 

(vi)       content that General Infocomm deems to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable.

 

3.         Reservation of Rights  

 

3.1       Availability and Access

 

The Joilio Portal and Joilio Services are made available for convenience only. General Infocomm shall not be under any obligation to provide the Joilio Services in any particular manner or for any particular period or at all nor be held responsible for any:

 

3.1.1    reliance placed on the Joilio Services; or

 

3.1.2    termination or suspension of the Joilio Portal any Joilio Services for any reason at any time, with or without notice by General Infocomm.

 

3.2       Other Action

 

            General Infocomm is not obliged to review but may at any time and reserves the right, with or without prior notice, and whether for the purposes of updating, upgrading or system maintenance or on account of any material or service which General Infocomm determines to violate the Joilio Terms or to be or may be offensive, infringing of any intellectual property rights, illegal or may harm, threaten or violate the rights, safety or interest of Users or others:

 

3.2.1    monitor, screen, censor or reject any activity, content or material appearing on this Joilio Portal;

 

3.2.2    modify, delete, remove, edit or withdraw any part or all of the Joilio Portal or Joilio Services, including any material or content posted by Joilio User; or

 

3.2.3    stop, suspend, terminate or prevent access to any part or all of the Joilio Services in relation to any one or more Joilio Users, whether or not temporarily;

 

3.2.4    terminate the Joilio User Account and deny use of or access to the Joilio User Account, the Joilio Services and Joilio Portal if General Infocomm determines or has reason to believe that any representation, warranty or information provided by Joilio User is untrue or inaccurate or has been breached;

 

3.2.5    take such action or decision as General Infocomm finds, in its discretion, to be necessary, appropriate or desirable in connection with its management and/or operation of this Joilio Portal and/or the provision of the Joilio Services.

 

3.3.      Joilio Terms

 

3.3.1    Joilio Terms include such additional policies, practices and terms as may be stated elsewhere at the Joilio Portal, to apply to the use of certain Joilio Services, and which additional terms and conditions shall form part of the Joilio Terms.

 

3.3.2    General Infocomm may amend the Joilio Terms without prior notice and without liability at any time.

 

3.3.3    Joilio User is expected to keep updated on all Joilio Terms and any amendments to the Joilio Terms. By continuing to use the Joilio Portal or the Joilio Services following the effective date of such Joilio Tems and/or amendments thereto, Joilio User shall be deemed to have understood, accepted and agreed to be bound by all such Joilio Terms and/or amendments thereto, as the case may be.

 

4.         Fees and Payments

 

4.1       In relation to Joilio Services for which payment to General Infocomm is required, payment shall be made by Joilio User:

 

4.1.1    in such amount and manner as specified by General Infocomm at the Joilio Portal, and as may be revised by notification from time to time; and

 

4.2.2    in advance of the use of Joilio Services for which payment is required.

 

4.2       All payments made to General Infocomm for the use of Joilio Services shall, unless otherwise stated by General Infocomm, be:

 

4.2.1    non-refundable under any and all circumstances, including on account of non-use or partial use of Joilio Services;

 

4.2.2    made in full and in addition to any applicable goods and services tax; and

 

4.2.3    free and clear of any deductions, set-off or claims, whether on account of any taxes, levies or duties imposed by the relevant authority, for which Joilio User shall responsible for paying.

 

5.         Own Risk and Investigations

 

5.1       Joilio User acknowledges and accepts that:

 

5.1.1    Joilio User’s use of and/or reliance on any information obtained through the Joilio Portal and/or the Joilio Services shall be strictly and entirely at its own risk;

 

5.1.2    General Infocomm does not conduct investigations or any form of due diligence into the background of any other Joilio User with whom the first-mentioned Joilio User interacts through use of the Joilio Portal or the Joilio Services;

 

5.1.3    General Infocomm assumes no responsibility whatsoever as to the accurancy or authenticity of any information of any other Joilio User, nor as to the success or failure of any resulting discussions or negotiations with any such other Joilio User;

 

5.1.4    Joilio User is strongly advised to make every effort to check and verify the credentials, reputation and/or financial background of any other Joilio User who makes contact with it through the Joilio Portal and if in doubt, to consult professional advisors.

 

5.2       Joilio User shall not, in any event, seek to claim or hold General Infocomm responsible or liable in any way for any activity or transaction Joilio User undertakes or enters into or for any reliance Joilio places on any information obtained through use of or as may be facilitated by the Joilio Portal or Joilio Services, whether with any other Joilio User or otherwise.

 

6.         Joilio User Content

 

6.1       Quality

 

6.1.1    Joilio User acknowledges and agrees that Joilio User Content may be viewed or relied upon by General Infocomm or other Joilio Users or third parties, and further undertakes to ensure and represents and warrants that any Joilio User Content which Joilio User provides, posts or publishes at or through the Joilio Portal:

 

(i)         is current and not misleading or inaccurate in any way or at any time;

 

(ii)        is duly authorized for posting or publication at or through this Joilio Portal;

 

(iii)       does not violate any applicable laws;

 

(iv)       does not infringe the intellectual property, confidentiality or other rights of any third party including any current or previous employer;

 

(v)        does not contain illegal, defamatory, libelous, pornographic or obscene materials or promote sexually explicit materials; and

 

(vi)       does not contain or will not import any viruses or other disabling devices which may interfere, damage, surreptitiously intercept, access or expropriate any system, data or information of General Infocomm or any other Joilio Users.

 

6.1.2    General Infocomm reserves and Joilio User agrees that General Infocomm shall have the right (but shall not be obliged) to reject, remove, block or edit any Joilio User Content which it finds in its discretion or is informed to contravene the above or other requirements of the Joilio Terms or to be otherwise unsuitable or inappropriate and without prior or any notification or explanation to Joilio User.

 

6.2       Grant of Licence

 

Joilio User hereby:

 

6.2.1    authorises General Infocomm to make such copies of its Joilio User Content as General Infocomm requires to enable the posting, publication and/or storage of the same at or for the purposes of the Joilio Portal; and

 

6.2.2    grants to General Infocomm a non-exclusive, perpetual, irrevocable, transferable, worldwide, royalty free licence to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), distribute and/or prepare derivative works of any of its Joilio User Content and/or sublicense any of the aforesaid rights for any commercial or non-commerical purpose as General Infocomm deems appropriate including but not limited to:

 

(i)         planning, research and/or development purposes and/or marketing of products and services;

 

(iii)       communicating with or sending promotional or other materials to the first-mentioned Joilio User or other Joilio Users which General Infocomm considers may be of interest to it or them or are otherwise related to the Joilio Services;

 

(iv)       disclosure to other governmental agencies and bodies; and/or

 

(v)        compliance with any applicable law, or order or direction or court or other competent authority.

 

6.3       Responsibility

 

6.3.1    Joilio User shall be solely responsible for and shall keep General Infocomm harmless from and against any liability, loss, claim, action or proceedings arising from Joilio User Content that Joilio User uploads, posts, publishes or displays at or through the Joilio Portal or the Joilio Services.

 

6.3.2    Joilio User acknowledges and agrees that:

 

(i)         Joilio User Content from other Joilio Users and third parties may be made available to Joilio User through this Joilio Portal or the Joilio Services; and

 

(ii)        such Joilio User Content -

 

(a)        is not under the control of General Infocomm; and

 

(b)        General Infocomm shall not be responsible for under any circumstances.

 

6.3.3    General Infocomm shall not be responsible and disclaims all liability for and shall further not be in any way involved in any:

 

(i)         interaction, communication or transaction between Joilio User and any other Joilio User or third party, whether or not through use of the Joilio Portal or the Joilio Services;

 

(ii)        Joilio User’s or third party's use or disclosure of information about or relating to the Joilio Portal or Joilio Services; or

 

(iii)       conduct, whether online or offline, of any Joilio User or any information, content, material, software, system or facility posted, made available or represented by any other Joilio User or third party through this Joilio Portal or encountered in the use of the Joilio Services.

 

6.4       Banners

 

            6.4.1    Authority, Accuracy and Undertaking

 

Without prejudice to the generality of the above provisions of this paragraph 6, each Advertiser represents, warrants and undertakes with respect to every Banner that it submits for purposes of or posts at the Joilio Portal that:

 

(i)         it is duly authorised and possesses the requisite rights to make the offer and/or deal in the items described in the Banner as the case may be;

 

(ii)        all information contained in the Banner shall be truthful, accurate and current; and

 

(iii)       without prejudice to General Infocomm’s rights under the Joilio Terms, to remove such any Banner as the case may be, which Advertiser knows or has reason to believe or should reasonably know

 

(a)        does not meet the required or appropriate specifications or does not otherwise comply with the Joilio Terms; or

 

(b)        is necessary on reasonable grounds (which shall, for the avoidance of doubt, include any credible threat of legal proceedings arising from the Banner as the case may be). 

 

            6.4.2    Administration and Management 

 

            General Infocomm reserves the right, in its management of the Joilio Portal, and each of Advertiser acknowledges and agrees that General Infocomm may and that Advertiser shall be bound and shall abide by any action or decision of General Infocomm to:

 

(i)         contact and verify with any principal that Advertiser purports or apparently acts as agent for in connection with any Banner as the case may be;

 

(ii)        vet the contents of any Banner as the case may be and/or refuse to publish or accept or allow the publication of any or otherwise remove or delete any Banner as the case may be at the Joilio Portal, without any obligation or liability to refund any fees or payments made for such Banner as the case may be, which General Infocomm determines in its sole discretion -

 

(a)        does not meet the required or appropriate specifications or does not otherwise comply with the Joilio Terms; or

 

(b)        is necessary on reasonable grounds (which shall, for the avoidance of doubt, include any credible threat of legal proceedings arising from the Banner as the case may be);

 

(iii)       divide, arrange and present Banners as the case may be under various respective sections as determined by General Infocomm to be appropriate or desirable; and

 

(iv)       determine the terms on which a Banner as the case may be may be posted or remain available for viewing at the Joilio Portal, based on the applicable fees, opportunities and/or packages as offered by General Infocomm from time to time and taken up by Joilio User, including in relation to minimum duration, promotional deals, free-of-charge terms, renewal fees, and otherwise.

 

6.4.3    Modification and Re-Presentation of Contents

 

General Infocomm reserves the right to, and Joilio User agrees that General Infocomm may modify, translate, convert or re-present the contents or pricing and/or other information in any Banner as the case may be into another language, another currency, and/or another form, format or style as General Infocomm determines. Joilio User understands and accepts that any such modification, translation, conversion or re-presentation of the said contents or pricing or other information:

 

(i)         is purely indicative and for convenient reference only and may not be accurate or error-free;

 

(ii)        is without prejudice to and does not supersede the original contents or pricing or other information as posted or provided in the Banner;  

 

(iii)       shall not in any way make General Infocomm responsible nor cause General Infocomm to be liable for any claims, losses, damages, costs and/or  expenses arising from any alleged or actual inaccuracy or error in the said modification, translation, conversion or re-presentation.

 

6.4.4    Joilio Portal

 

General Infocomm may, in its absolute discretion and without affecting any of the Joilio Terms:

 

(i)         determine the website address, domain name, identity, location, server, configuration and/or other specification of the Joilio Portal from time to time, including the right to change, re-establish or extend any of the aforesaid; and

 

(ii)        take such action/s as may be necessary or in consequence of any such determination or change, re-establishment or extension, whether of a technical, administrative or operational nature or otherwise, to maintain or continue the provision of the Joilio Services and the operation of the Joilio Portal.

 

7.         Legal Relations and Contracts

 

7.1       For the avoidance of doubt, General Infocomm:

 

7.1.1    shall not under any circumstances be or be deemed a party to or otherwise involved in any transaction or legal relations arising between or among any 2 or more Joilio Users; and

 

7.1.2    does not and does not purport to regulate, dictate or determine, whether through the Joilio Portal, Joilio Services or otherwise, the contractual or other relationship or legal relations between or among any 2 or more Joilio Users who interact, communicate or transact through or pursuant to the use of or otherwise at the Joilio Portal or Joilio Services.

 

7.2       Whether legal relations have been formed, a binding contract exists, or legal rights and/or obligations subsist between or among any 2 or more Joilio Users pursuant to the use of the Joilio Portal, Joilio Services or otherwise may depend on, and if in doubt, Joilio User is directed to seek independent professional advice on, inter alia:

 

7.2.1    the legal significance of the communication engaged by the parties in question; and

 

7.2.2    the operation of the applicable law to the prevailing circumstances.

 

8.         Intellectual Property Rights

 

8.1       All copyright, trade marks and other intellectual property rights comprised or subsisting in the information, text, graphics, logos, design, layout, scripts, software, technology, music, sound, photographs, images, search engines and/or any other materials or works used on, contained in or used in connection with this Joilio Portal and/or the Joilio Services (collectively "Joilio Portal Materials") are the sole and exclusive property of General Infocomm and/or its licensors, and shall not be reproduced, republished, uploaded, posted, transmitted or otherwise distributed in any way whether in whole or in part, without prior written consent of General Infocomm.

 

8.2       Subject to compliance with the Joilio Terms, Joilio User is permitted (at its own risk) to download and print the Joilio Portal Materials (whether or not including any Joilio User Content) for personal reference and non-public and non-commercial use only.  Other than such limited permission, Joilio User shall not use, make public reference to, create derivative works from, reproduce, reverse compile, adapt, modify, distribute, commercially exploit, display, broadcast, link or transmit in any manner or by any means or store in any information retrieval system any part of the Joilio Portal or the Joilio Portal Materials without prior written consent of General Infocomm.

 

8.3       Joilio User must not upload, post or disseminate any material that infringes the copyright, trade mark or other intellectual property rights of General Infocomm or any third party. Without prejudice to the aforesaid, Joilio User shall and agrees to indemnify General Infocomm against all claims, costs, losses, expenses or damages howsoever arising, whether direct, indirect or consequential (including without limitation, lawyers’ fees) made against or incurred or suffered by General Infocomm and resulting directly or indirectly from any claim that the content of any material uploaded, posted or disseminated by Joilio User onto this Joilio Portal infringes the copyright, trade mark or other intellectual property rights of any third party.

 

9.         Third Party Products, Services and Websites

 

9.1       Other Products, Services and Brands

 

            Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise found at this Joilio Portal does not constitute nor imply endorsement, sponsorship or recommendation thereof by or any affiliation with General Infocomm.

 

9.2       Other Websites

 

9.2.1    Any third party websites operated by or under the control of parties other than General Infocomm (“Other Websites”) linked to this Joilio Portal by hyper-linking, deep-linking, framing or otherwise, are so linked for convenience and ease of reference only. General Infocomm does not represent nor intend for such links to be referrals, recommendations or endorsements of such Other Websites, the use of which may be governed by separate terms and conditions, or the parties operating them.

 

9.2.2    Joilio User acknowledges and agrees that:

 

            (i)         General Infocomm -

 

(a)        has no control over the parties operating the Other Websites;

 

(b)        does not contribute nor assume any responsibility for the Other Websites or the information contained in or services or facilities offered or made available at the Other Websites;

 

(c)        shall not be liable for any loss, damage, cost or expense incurred by Joilio User arising from or for any reliance placed on or the use of any information, services or facilities provided at the Other Websites; and

 

(ii)        Joilio User’s access to, use of or reliance on the content of the Other Websites shall be entirely at its own risk.

 

10.       General Indemnity, Exclusions and Limitations

 

10.1     Lawful Use

 

            In using the Joilio Portal and/or Joilio Services, Joilio User undertakes that it will at all times act lawfully, so that in the event that its use of the Joilio Portal and/or Joilio Services contravenes any applicable law (whether criminal or civil) or contravenes the Joilio Terms and results in General Infocomm suffering any claims, losses, damages, costs or expenses howsoever arising whether direct, indirect or consequential, Joilio User shall and agrees to indemnify General Infocomm against all such claims, losses, damages, costs or expenses (including without limitation, lawyer’s fees).

 

10.2     “As Is, As Available” Provision

 

            THE Joilio PORTAL AND THE Joilio SERVICES ARE PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES WHETHER EXPRESS OR IMPLIED.  General Infocomm DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR ANY PURPOSE, ACCURACY, AVAILABILITY, NON-INFRINGEMENT OR IMPLIED WARRANTIES FROM COURSE OF DEALING OR USAGE OF TRADE TO THE EXTENT PERMISSIBLE BY APPLICABLE LAW.

 

10.3     Exclusions of Liability and Responsibility

 

            Joilio USER ACCEPTS AND AGREES THAT EACH OF General Infocomm AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS:

 

10.3.1  DOES NOT GUARANTEE UNINTERRUPTED, CONTINUED OR SECURE ACCESS TO THE Joilio PORTAL OR THE Joilio SERVICES;

 

10.3.2  SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY LOSSES, DAMAGES, COSTS OR EXPENSES IF THE Joilio PORTAL BECOMES UNAVAILABLE AT ANY TIME OR FOR ANY PERIOD OF TIME, WHETHER OR NOT SUCH UNAVAILABILITY IS DUE SUBSTANTIALLY TO MATTERS BEYOND General Infocomm’s REASONABLE CONTROL;

 

10.3.3  DOES NOT GUARANTEE THAT THE Joilio PORTAL OR THE Joilio SERVICES WILL BE ERROR FREE OR FREE FROM COMPUTER VIRUS OR OTHER INVASIVE OR DAMAGING CODE OR THAT USE OF THE Joilio PORTAL OR THE Joilio SERVICES WILL YIELD OR PROVIDE ANY SPECIFIC RESULTS;

 

10.3.4  DOES NOT CONDUCT ANY INVESTIGATIONS OR DUE DILIGENCE INTO ANY Joilio USER OR OTHER THIRD PARTY ADVERTISING ON THE Joilio Portal AND SHALL NOT ACCEPT ANY RESPONSIBILITY OR LIABILITY WHATSOEVER, FOR ANY CLAIMS, LOSSES, DAMAGES, COSTS OR EXPENSES HOWSOEVER ARISING WHETHER DIRECT, INDIRECT OR CONSEQUENTIAL IN RESPECT OF ANY INFORMATION, OPINION OR ADVICE CONTAINED WITHIN THE Joilio Portal;

 

10.3.5  DOES NOT ASSUME RESPONSIBIILTY FOR AND EXCLUDES AND DISCLAIMS, TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL LIABILITY FOR ANY -

 

(i)         INACCURACY OF ANY INFORMATION APPEARING AT THIS Joilio PORTAL;

 

(ii)        DAMAGES, WHETHER GENERAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOST PROFITS, LOST OR INTERRUPTED BUSINESS, LOST USE OR LOST OPPORTUNITY, HOWSOEVER ARISING INCLUDING IN CONSEQUENCE OF USE OF OR RELIANCE PLACED ON THE Joilio PORTAL AND/OR THE Joilio SERVICES, AND WHETHER IN CONTRACT, TORT OR OTHERWISE;

 

(iii)       DELAY, FAILURE OR INABILITY TO GAIN ACCESS TO OR USE THE Joilio PORTAL AND/OR THE Joilio SERVICES DUE TO ANY REASON WHATSOEVER; AND/OR

 

(iv)       OTHER RIGHT, REMEDY OR OBLIGATION OTHER THAN LIABILITY FOR PERSONAL INJURY OR DEATH CAUSED BY General Infocomm's NEGLIGENCE;

 

(v)        LOSS OF ELECTRONIC OR PHYSICAL DATA WHETHER AS A RESULT OF MALICIOUS COMPUTER VIRUSES OR OTHERWISE, INCLUDING ANY Joilio USER CONTENT, FOR WHICH Joilio USER SHALL BE RESPONSIBLE FOR MAKING BACK-UP COPIES OF AS Joilio USER MAY REQUIRE; AND

 

10.3.6  excludeS all risks of loss, damages, costs and other consequences arising directly or indirectly from Joilio USER using the Joilio Portal or Joilio SERVICES.

 

10.4     Limitations of Liability

 

without prejudice to the exclusions in PARAGRAPH 10.3:

 

10.4.1  IF THE Joilio PORTAL BECOMES UNAVAILABLE FOR A PERIOD OF ONE (1) WEEK OR LONGER, General Infocomm MAY IN ITS ABSOLUTE DISCRETION REFUND ANY FEES PAID by Joilio user WHICH CORRESPOND RATEABLY WITH THE PERIOD OF TIME FOR WHICH THe Joilio PORTAL BECOMES UNAVAILABLE; anD

 

10.4.2  in any event, Joilio user’s EXCLUSIVE REMEDY AND General Infocomm’s MAXIMUM LIABILITY TO Joilio user for any claim by Joilio user in relation to the Joilio portal and/or Joilio services, whether in contract, tort or otherwise, SHALL BE limited to A REFUND TO Joilio user OF ANY FEES actually PAID by Joilio user TO General Infocomm for the use of such portion of the Joilio portal and/or Joilio services to which the said claim relates.

 

11.       General

 

11.1     Severability

 

If any provision of the Joilio Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of the Joilio Terms, which shall remain in full force and effect.

 

11.2     Successors and Assigns

 

The Joilio Terms shall be binding upon and shall extend and apply to the benefit of the successors and permitted assigns of General Infocomm.

 

11.3     Governing Law and Jurisdiction

 

11.3.1  The Joilio Terms and use of the Joilio Portal and Joilio Services shall be governed by and construed in accordance with the laws of Singapore.

 

11.3.2  Joilio User shall be responsible for ensuring compliance with all applicable laws including any laws to which Joilio User may be subject and shall not access or use the Joilio Portal and Joilio Services from any location outside of Singapore where this is not permitted or would otherwise be unlawful.

 

11.3.3  Joilio User irrevocably agrees to submit to the exclusive jurisdiction of the Courts of Singapore in respect of any matter or dispute involving General Infocomm and/or arising in connection with the Joilio Terms and/or use of the Joilio Portal and/or Joilio Services.

 

12.       Communications

 

12.1     General Infocomm may:

 

12.1.1  notify or communicate with Joilio User on such matters affecting Joilio User’s use of the Joilio Portal or Joilio Services by email at Joilio’s email address last known to General Infocomm, including in relation to the expiry or renewal term of Joilio User’s said use, the applicable fees payable by Joilio User in respect thereof or otherwise; and

 

12.1.2  take such action as General Infocomm determines to be appropriate in the event that Joilio User does not agree with or fails to respond to any such notification or communication by General Infocomm.

 

12.2     Without prejudice to the designated representative of General Infocomm for notices of claimed copyright infringement pursuant to the Copyright Act, Singapore, as stated below, if Joilio User wishes to communicate with or make an appointment to meet General Infocomm on any matter relating to its or any other party’s use of the Joilio Portal or Joilio Services, including in relation to a Banner or otherwise, General Infocomm may be reached for such purpose:
